Terms of Service

These Terms of Service ("Terms") govern your use of Magia, a desktop application and associated cloud services ("Service") provided by Mosaiqo Software Development SLU ("Mosaiqo", "we", "us", or "our"), a company registered in Spain.
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description
Magia is an agent-first desktop coding environment designed to replace the traditional terminal, IDE, and browser workflow for developers working with AI agents. The Service consists of a desktop application (available for macOS and Linux) and optional cloud features including account management, collaboration tools, and subscription management.
2. Account Terms
- You must be at least 16 years old to use the Service.
- You must provide accurate and complete information when creating your account.
- You are responsible for maintaining the security of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately if you become aware of any unauthorized use of your account.
- One person or legal entity may not maintain more than one free account.
3. Free and Pro Tiers
Magia offers a Free tier and a Pro tier. The Free tier provides core desktop functionality that will always remain available at no cost. The Pro tier ($19 per user per month) unlocks additional cloud features, collaboration tools, and priority support. Enterprise plans with custom pricing are available for larger teams.
We reserve the right to modify the features included in each tier. Any changes that materially reduce Pro tier functionality for existing subscribers will be communicated at least 30 days in advance.
4. Payment Terms
- Pro subscriptions are billed monthly or yearly via Stripe.
- Subscriptions auto-renew at the end of each billing period unless cancelled.
- Prices are listed in USD and may be subject to applicable taxes.
- You can cancel your subscription at any time through your account settings.
- We reserve the right to change pricing with at least 30 days' notice. Existing subscribers will be notified before any price increase applies to their account.
5. Refund Policy
If you are not satisfied with the Pro tier, you may request a pro-rated refund within the first 14 days of your subscription. After this 14-day period, no refunds will be issued. To request a refund, contact us at legal@magia.sh.
6. Downgrade and Cancellation
When you cancel your Pro subscription or it expires, the following process applies:
- You retain full access to Pro features until the end of your current billing period.
- After expiration, you enter a 30-day read-only grace period where you can view and export your cloud data but cannot create new cloud resources.
- After the grace period, cloud-only data associated with Pro features will be cleaned up.
- Your local data is never touched — it remains on your device regardless of your subscription status.
- You can re-subscribe at any time to regain access to Pro features.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Attempt to reverse engineer, decompile, or disassemble the cloud services or proprietary components of the Service.
- Interfere with, disrupt, or place an undue burden on the Service or its infrastructure.
- Use the Service to transmit malware, viruses, or any other malicious code.
- Resell, sublicense, or redistribute the cloud services without our written permission.
- Use automated means to scrape, crawl, or extract data from the Service.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
8. Open Source and Licensing
The Magia desktop application core is open source and released under the MIT License. You are free to use, modify, and distribute the open source components in accordance with that license. The source code is available at github.com/magiash/magia.
Enterprise Edition (EE) features and cloud services are proprietary and subject to these Terms. The distinction between open source and proprietary components is clearly marked in the source code repository.
9. Intellectual Property
Mosaiqo owns all rights, title, and interest in the Service, including its proprietary components, trademarks, and branding. The Magia name, logo, and associated marks are trademarks of Mosaiqo Software Development SLU.
You retain full ownership of your code, data, and any content you create using the Service. We do not claim any intellectual property rights over the materials you create with Magia.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Mosaiqo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, goodwill, or other intangible losses resulting from:
- Your use of or inability to use the Service.
- Any unauthorized access to or alteration of your data.
- Any third-party conduct on the Service.
- Any loss of data, including but not limited to local project files or cloud-stored data.
Our total liability for any claims arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the claim.
11. Termination
You may cancel your account at any time through your account settings or by contacting us. We may suspend or terminate your account if you violate these Terms, with notice where reasonably possible.
Upon termination, your right to use the cloud services ceases immediately. You will have a reasonable period (at least 30 days) to export your cloud data. Your local data remains on your device and is unaffected by account termination. The open source desktop application will continue to function without an account.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you disagree with the changes, you may cancel your account before the new Terms take effect.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of Spain. Any disputes arising from or related to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Spain. Nothing in these Terms affects your rights as a consumer under applicable EU consumer protection laws.
